Selling a business

Metasphere

Adviser to Metasphere, a water data company, on its sale to XPV Water Partners.

The deal

Our Corporate Finance team has successfully advised Kaye Enterprises on the sale of telemetry water systems business Metasphere Ltd, to growth equity investors, XPV Water Partners (XPV).

With headquarters in Tadworth, Surrey, and an office in Sydney, Australia, Metasphere is an internationally recognised end-to-end provider of remote telemetry solutions, offering data collection, storage, analytics, visualisation and reporting solutions. Metasphere has been operating in the remote monitoring and control business for 30+ years and its products and services are widely recognised in the industry with solutions that improve process efficiency, meet regulatory requirements, and preserve valuable natural resources.

The team acted as lead adviser to family office investor Kaye Enterprises on the sale of Metasphere, completing a thorough international marketing and sales process which attracted offers from multiple trade parties and private equity investors, before selecting XPV Water Partners as the preferred buyer.

XPV Water Partners is focused on making investments in companies related to the treatment and management of the world’s water resources. XPV is comprised of experienced entrepreneurs, operators, and investment professionals dedicated to making a difference in the water industry.

XPV was attracted to Metasphere’s market leading position, international reach, differentiating technology and strong client base – these factors, when combined with possible synergies of other portfolio companies, made them the ideal acquisition opportunity for XPV.

“I am proud of the success and industry respect that our brand has achieved. This partnership with XPV Water Partners will enable Metasphere to significantly increase our presence and support in the telemetry market. The team captured the essence of Metasphere ‘today’ and its vision for the future in a well-documented Information Memorandum. Their attention to detail was omnipresent throughout the year-long process and coupled with calmness and assured interaction, made the process much easier for Metasphere’s management team to determine the appropriate course of action in transitioning from one Private Equity House to XPV Water Partners. It was a pleasure working with Robert Chant and Simon Davies – and hopefully we will be doing so on the ‘buy side’ in the near future.” Tim O’Brien, Managing Director of Metasphere.

“We have known the team for a number of years so naturally went to them when the time was right to consider the sale of Metasphere. Simon and Robert took us painlessly through the process. Their advice was professional, clear and rational and the whole process was made easier in the knowledge that they had our best interests at heart. We truly believe we have found the perfect acquirer in XPV Water Partners and are delighted with the outcome.” Chris Young, Kaye Enterprises.
