The deal
Our Corporate Finance team has advised the shareholders of iTrust Fertility, which operates two clinics based in Bromley and Eastbourne as well as a satellite clinic in Brighton, on the sale of the business to London Women’s Clinic, part of JD Healthcare Limited, one of the UK’s largest independent providers of reproductive medical services.
The FRP Corporate Finance team, led by Partner Clive Hatchard and Director Bilal Hasan and supported by Manager Nick Wright, were appointed by the shareholders to find a strategic partner looking to widen its geographic coverage in the South East. The business attracted interest from both the UK and overseas, however, with London Women’s Clinic sharing the same vision as management on the local opportunity presented in both regions covered by iTrust – it was clear from the start that the fit was both strategically and culturally strong.
Following the acquisition, London Women’s Clinic are now poised to provide fertility care to both NHS and self-funding patients throughout Kent and Sussex. The new clinics will sit alongside the group’s existing fertility centres in Canterbury and Tunbridge Wells, enhancing coverage across the South-East region.
Among the expanded range of treatments available, including IVF and ICSI – the clinic also provides egg and sperm donation, egg sharing – provided via the group’s London Egg Bank and London Sperm Bank – ‘shared motherhood’ and surrogacy services for same-sex female couples and insemination treatments for single women. London Women’s Clinic is also the UK’s leading service for egg freezing, an increasingly popular option for women not yet ready for pregnancy. With more eggs successfully frozen and thawed than any other centre in the UK, these and other state-of-the-art services will soon be readily available at the newly acquired sites.
Commenting on the acquisition, Dr Kamal Ahuja, Scientific and Managing Director of London Women’s Clinic said: ‘The amalgamation with LWC of the long-established clinics in Sussex and Kent has allowed us to broaden access to our fertility services in the South-East. Both of the amalgamated clinics are well established centres for the treatment of infertility in NHS and self-funded patients, and it’s our aim at London Women’s Clinic to build on these traditions and bring state-of-the-art treatments and laboratory services to the region.’
Clive Hatchard, Partner at FRP Corporate Finance, said: “iTrust Fertility has very quickly created a well-known brand in its core areas. London Women’s Clinic is the ideal partner for the business, and we look forward to following the next chapter in the business’ evolution.”
