Background

Established in 1978, Brentwood Communications Limited is one of the UK’s leading suppliers of bespoke radio design solutions for all market sectors across the UK and worldwide. The company was aiming for further expansion through acquisition, and was looking to buy Capcom Land Sea and Air Communications Limited, a leading provider of radio communications solutions with a particular focus in the global travel and transport sectors. Founded in 1992, Capcom has a successful 28-year trading history. Operating from premises in Southampton, the business offered a strong platform for future growth with significant market opportunities.

Action

Brentwood Communications instructed FRP’s Corporate Finance team to create an integrated financial model with the transaction and funding structure overlaid. At the same time, our team negotiated improved terms with the sellers and liaised with funders on behalf of Brentwood Communications. We also advised the shareholders on the most attractive deal and funding structure, and on the final terms of the transaction.

Outcome

FRP acted as lead adviser to Brentwood Communications throughout every stage of the acquisition of 100 per cent of the share capital of Capcom. The deal provided a complete exit for the founding shareholders of Capcom, and the addition of a new strategic location for Brentwood Communications to enable its continued expansion across the UK.
