New investment supports growth plans for GEV

Background

GEV Group is the global market leader in blade-related maintenance for wind turbines, including inspection and repair, retrofits and turbine paint repair, carried out using rope access techniques and aerial working platforms. The business was founded in the UK in 2008 and has built an unrivalled reputation as the leading independent service provider for turbine maintenance services worldwide.

The Group is led by a high-quality, experienced and ambitious management team with an established platform in a fast-growing and evolving sector that has significant market opportunities.

Action

Our Corporate Finance team has worked with GEV Group since 2014, advising on an initial investment by Maven Capital Partners, various strategic options available to the board, and on the timing of a follow-on transaction.

Our team was engaged by the company’s management to advise them through a secondary private equity investment, including the offers received, the deal structure, legal documentation and the tax structure. Our team provided hands-on support to the management team throughout the process, leading to a successful conclusion.

Outcome

GEV Group received a majority equity investment from Bridges Fund Management, a private equity investor with a focus on sustainable living. The transaction enabled a full exit for Maven Capital Partners, along with cash out and equity for the senior management team to participate in the continued growth of the Group.

The investment deal included substantial acquisition capital to support the Group’s growth plans, and an equity structure to incentivise existing and new members of the management team.
