Sale secures growth opportunities for Broham

Background

Broham, based in Essex, is a leading specialist principal contractor in retail forecourt and commercial fuel installation, providing the construction, remediation, refurbishment and maintenance of fuel forecourts across the UK. Founded in 1980, Broham has an established industry reputation, offering a high-quality service to a blue-chip client base including BP, Asda and Marks & Spencer, and creating a strong platform for future growth with significant market opportunities.

Action

The owners had decided to sell the business, and our Corporate Finance team was appointed to provide M&A advisory services to achieve the sale. The team acted as lead adviser throughout every stage of the transaction, creating a detailed information memorandum to present the business to multiple potential buyers. Our team then ran and managed a competitive sales process with a number of strategically selected parties, and negotiated the deal structure that best suited both sides.

Outcome

The team secured the strategic sale of Broham to Baxter Holding Group Limited, another Essex-based company with a number of associated businesses, which offered further growth opportunities for Broham. As well as a substantial cash payment for the shares in the business, the deal also included a commitment from the buyer to continue with the existing operation and staff, securing all jobs.
