Omega Ingredients Limited is a specialist provider of the highest quality, provenance-driven natural flavours and ingredients for the food and beverage industry. Founded by CEO Steve Pearce in 2001, the company has its headquarters in Ipswich, Suffolk with supporting office facilities in the US. Omega Ingredients has achieved a market-leading reputation across the industry; alongside its established blue-chip client base the company also supplies some of the newer, fastest-growing and innovative business ventures in the sector.

Action

Omega Ingredients appointed FRP’s Corporate Finance team to plan, design and assist with the implementation of a share restructure that would enable a founding shareholder to exit and realise the capital value of their shareholding. The team advised on the valuation and prepared a detailed financial model, overlaying the deal structure, as well as providing clear and in-depth explanations of the structure to all parties. The team also provided the necessary detailed tax planning advice and structuring input, to ensure the restructuring was tax effective for both exiting and continuing shareholders.

Outcome

The transaction resulted in the successful re-organisation of the shareholding structure, while the remaining shareholders continue in the day-to-day management of the business. The company now has a fantastic platform for further development, with exciting growth opportunities both in the UK and internationally.
