Sale delivers growth potential for Majestic

Headquartered in Great Dunmow, Essex, and with a history dating back to 1968, The Majestic Shower Company has established an enviable reputation with many leading designers and architects for specialising in the design and manufacture of premium glass shower screens. The company’s products have been used in landmark buildings, luxury developments and private residences across the world.

Action

FRP’s Corporate Finance team was instructed to act as lead advisers by the shareholders and management of the company, to assist with its sale to an interested international party who saw the potential to grow the business and expand on the excellent reputation and product range. We were engaged to project manage the transaction, which included assisting with negotiations on key commercial and financial terms, creating an integrated, three-year financial model alongside the business plan, and overseeing the due diligence process and data room. The team also worked alongside lawyers on the key commercial and legal points to achieve a successful completion of the sale.

Outcome

Our Corporate Finance team led the transaction, securing the sale of 100% of the shares in the MSCLUK Ltd to Flair Showers Ltd, the oldest manufacturer of shower doors and bath screens in Ireland. The deal met the shareholders’ expectations and is expected to generate significant growth opportunities for both businesses, with The Majestic Shower Company’s second-generation management team remaining in place.
