2023/24: Winter update

Mark Naughton provides an overview of the current M&A landscape as we start to see a return in optimism, and Simon Sherliker shares his thoughts on the latest trends and sentiment in the debt funding market.

In line with expectations the uptick in deal activity at the end of 2023 has continued into 2024, and in the last three months FRP Corporate Finance have closed 27 transactions across M&A and Debt Advisory – one of our highest ever quarterly deal volumes.

In February, we welcomed Dan Salt as a new Corporate Finance Partner in our Birmingham office as we continue to grow our team in the Midlands. Dan joins us from EY having previously spent time at Clearwater International and Royal Bank of Scotland.

Real Deals have recently announced the finalists for this years Private Equity Awards, and we are delighted to be shortlisted in the UK Corporate Finance House of the year category, following our win in the same category last year.

Mark Naughton reviews the current UK M&A landscape

There’s no denying that, across the board, 2023 was a relatively slow year for M&A activity. This was down to a myriad of much-publicised economic challenges – not least soaring inflation, increased interest rates and geopolitical turbulence – which impacted business confidence.

However, as some of these headwinds began to ease towards the latter part of the year and outlook improved, we saw the market start to recover and deliver a strong finish to Q4. This upwards trend was mirrored in our own activity and has continued into the first quarter of 2024. In the last three months FRP Corporate Finance have closed 27 transactions across M&A and Debt Advisory – one of our highest ever quarterly deal volumes – with a strong pipeline reflective of an increasingly buoyant market.

There are a variety of reasons for this more active start to the new year. As is often the case in January and February, there is a legacy of deals worked on in the closing months of the previous year that then get over the line. There is also the continued pressure on private equity investors in particular to invest the funds they have raised, either through new investments or supporting their portfolio to make acquisitions.

However, with market and business pressures like high inflation and interest rates stabilising, both alternative investor and trade buyer appetite has returned, meaning a good level of interest and competitive tension within both pools of prospective buyers. In addition, this stabilisation has contributed to the gap between buyer and seller valuations closing, making deals a more realistic prospect.

Simon Sherliker reviews the current state of the UK debt market

The UK debt funding market is in a more buoyant place than it was twelve months ago, although the return of confidence is gradual.

A more settled business landscape in terms of interest rates and inflation has led to an improvement in management and investor confidence and a detectable wave of optimism throughout the market that we expect to build throughout the coming year.

2023 witnessed a significant year-on-year reduction in M&A transaction volume– and therefore a decrease in demand for funding to support strategic investments and acquisitions. However, steadily improving market conditions in 2024 mean many companies have started the year with a purposefully renewed positivity and reinvigorated focus on growth.
