FRP Corporate Finance supports secure network consultancy and managed services provider on sale to international tech firm

Our Corporate Finance team advised the shareholders of secure network consultancy and managed services provider, Intuitive Systems & Networks (ISN), on its sale to an international technology services firm, Conscia.

ISN is a secure network consultancy and managed services provider offering the technology and solutions to help businesses choose, implement and maintain their business goals. ISN was established in 2008 and represents over 15 years of enterprise-level experience and success in blue chip organizations. This is in addition to ISO 9001 and ISO 27001 accreditations and best of breed vendors and working across the hospitality, healthcare, emergency services and the private sectors.

Our Corporate Finance team acted as the exclusive sell side advisers to ISN, led by Partner James Mines and supported by Senior Managers Nick Wright, Matthew Nolan and Madhavi Morjaria. Our team helped prepare the business for sale, identifying strategic acquirers, before selecting Danish tech firm Conscia as the preferred buyer, and managing the process to reach a successful completion.

The deal will allow Conscia, which is backed by private equity investor Nordic Capital, to bolster Conscia’s presence in the UK, especially in the commercial sector, increase its capabilities and coverage in the managed services space, and strengthen its cybersecurity offering having acquired Oxford based ITGL last year.

James Mines, Partner at FRP Corporate Finance, said: “Strategic overseas buyers continue to be interested in proven high-quality companies with deep domain expertise, such as ISN, that can help the acquirer to bolster their existing capabilities and propositions, as this latest deal demonstrates.

“It was a pleasure working with the ISN team and we’re delighted to have delivered this deal for the shareholders and ISN team. In Conscia, the ongoing ISN team have found an acquirer with an aligned culture and a home where ISN can add significant strategic value to Consica. I look forward to seeing both businesses reap the rewards from transaction this moving forwards.”

Richard Titheradge, CEO at ISN, said: “We’re thrilled to be joining ITGL, part of Conscia. ITGL being a Cisco Gold Partner, with a strong presence in the public sector, means that we complement each other perfectly. Additionally, by leveraging the wider Conscia international network, we can create more exciting opportunities for our employees and bring even greater value to our clients.

“We enjoyed working with James and his team on this transaction. We selected them due to their sector insights and buyer landscape knowledge. This ultimately enabled them to identify a great fit with Consica, and their deal making skills and process management ensured for a successful completion.”

Boyes Turner acted as legal advisers to ISN on the deal.
