We’re pleased to have completed the sale of a specialist utility and infrastructure consultancy to a private equity-backed Australian water and infrastructure advisory consultancy.

INFRACO is a specialist UK consultancy that helps plan and manage utilities work on major infrastructure projects. Among its clients are major organisations in engineering and construction

It has now been acquired by Sequana, an infrastructure consultancy operating across the water, environment and energy sectors. Founded in Australia in 2019, the business specialises in major infrastructure projects, including desalination plants, wastewater treatment facilities and large-scale irrigation schemes. The company, which first expanded into the UK in September 2025, is backed by private equity firm Pemba Capital Partners.

The acquisition will give INFRACO access to Sequana’s specialist expertise and experience developed in Australia’s utilities sector, one of the world’s most demanding utility environments, where operators face challenges including water security, climate resilience and ageing infrastructure. For Sequana, the deal builds on its recent expansion into the UK by adding an established consultancy to the group, strengthening its presence as the UK undertakes significant investment to modernise its water and energy infrastructure, through schemes such as AMP8.

Our Corporate Finance team acted as lead sell-side advisers to INFRACO on the transaction. The team managed every stage of the deal, from preparing marketing materials and coordinating negotiations to overseeing due diligence and leading the transaction through to completion. As part of the process, our team ran a targeted marketing campaign to find a suitable buyer, and ultimately Sequana was chosen as the preferred buyer for INFRACO. To deliver the deal, the team coordinated stakeholders and advisers across the UK, US and Australia, working across multiple jurisdictions and time zones to meet tight deadlines.

Beth Warner, Associate Director at FRP Corporate Finance, said: “The scale of investment planned across the UK’s utilities sector presents huge opportunities, but delivering these increasingly complex projects will require technical expertise. By bringing together their complementary strengths, INFRACO and Sequana will be able to offer customers a range of skills and experience needed to help tackle the challenges of modernising the UK’s water and energy infrastructure.

“It was great to work with the team at INFRACO to help get this deal over the line, and I look forward to seeing how this partnership develops in the coming years.”

Ian Simmonds, CEO of INFRACO, added: “I’m pleased that INFRACO is joining forces with Sequana. We’ve built a strong and successful business, and this partnership provides an excellent opportunity to build on our achievements.

“Sequana brings significant international expertise in the water sector, particularly in desalination and water security. With the UK facing increasing challenges around water availability and infrastructure resilience, combining their expertise with INFRACO’s established UK utilities experience puts us in a strong position to help address these challenges.

“This represents an exciting next chapter for INFRACO, our people and our clients. I’d like to thank Adrian, Beth, Oyin and the wider FRP Corporate team for their invaluable commercial advice and guidance throughout the transaction.

“I’d also like to recognise Emma Boorman and Kate Partridge at DMH Stallard for their outstanding legal support. Their expertise, sound judgement and commitment were instrumental in achieving a successful outcome.”

By bringing together their complementary strengths, Infraco and Sequana will be able to offer customers a range of skills and experience needed to help tackle the challenges of modernising the UK’s water and energy infrastructure.
